IOLITE VISUALS - TERMS & CONDITIONS

1. COPYRIGHT NOTICE
In accordance with U.S. Copyright Law, all images, videos, and media produced by Iolite Visuals are and shall remain the exclusive intellectual property of Iolite Visuals. No copyright, ownership, or other proprietary rights are transferred to any client, agent, or third party unless expressly agreed to in a duly executed written instrument. For licensing inquiries or requests for expanded usage rights, please contact Iolite Visuals directly.

2. LICENSE GRANT AND RESTRICTIONS
Upon purchase of services and full payment, the Client (the original Agent/Homeowner/Brokerage who paid for the service) is granted a limited, non-transferable, non-exclusive license to use the delivered media.
- Permitted Use: You may use the media solely for the purpose of marketing the specific property depicted, and only for the duration that the property remains actively listed for sale or lease.
- Personal Marketing: As a courtesy, the Client may continue to use the photos for personal marketing and branding (e.g., "Just Sold" posts, personal website portfolio) indefinitely.
- Third-Party Use: The resale, sublicensing, transfer, or redistribution of the media to any third party (including builders, stagers, designers, sellers, or other agents) is STRICTLY PROHIBITED.

3. PROHIBITED ACTS
- No Transfer: The original Client does not have authorization to sell, transfer, or give away any media to a new listing agent if the listing expires or is cancelled. New agents must purchase a new license from Iolite Visuals.
- Permitted Edits: The Client may crop, resize, and add their own branding, text, or logo to the media for marketing use.
- No Misrepresentation: The Client may not make alterations that misrepresent the property, including sky replacement, virtual staging presented as real, or the AI removal, addition, or alteration of any feature. AI lot or property transformation is prohibited. Any material edits of this kind must be performed by Iolite Visuals.
- Unauthorized Use: Any unauthorized use, alteration, or distribution constitutes a violation of this agreement and copyright infringement.

4. PROPERTY READINESS & CLIENT EXPECTATIONS
- "Photo Ready" Standard: The Client is expected to have the property cleaned, staged, and decluttered PRIOR to the photographer's arrival.
- No Cleaning/Staging on Site: Iolite Visuals is not responsible for cleaning, moving furniture, or waiting for third-party vendors. If the property is not ready or cleaners are present upon arrival, the shoot may be cancelled or rescheduled at the photographer's discretion, subject to fees.
- "As Is" Condition: All properties will be shot "As Is." Absent specific input from the Client at the shoot, the Photographer will use their best judgment regarding angles and composition.

5. CANCELLATION, RESCHEDULING & ACCESS FEES
- Cancellation Policy: Cancellations made less than 24 hours prior to the scheduled appointment are subject to a $50 cancellation fee.
- No Access / Not Ready: If the photographer arrives and the property is not accessible (no key, gate code missing, owner not home) or not photo-ready (active construction/cleaning), the appointment will be considered a "No-Show." The Client will be charged a $50 Cancellation Fee IN ADDITION TO the full amount of any Travel Fees associated with the booking.
- Weather: In the event of extreme weather, the fee may be waived at the photographer's discretion. However, rescheduling decisions should generally be made 24 hours in advance.

6. DELIVERY & STORAGE
- Delivery Recipient: Media is delivered solely to the booking party who paid for the service. Iolite Visuals accepts delivery and usage instructions only from the booking party. Requests from homeowners, co-agents, or other third parties will be redirected to the booking party.
- Turnaround Time: Standard photos are typically delivered within 24 hours. Luxury/twilight packages may take up to 48-72 hours. Cinematic Video services have a turnaround time of 5-7 business days.
- Backup & Storage: Iolite Visuals will maintain a backup of final images for 120 days after delivery. It is the Client's responsibility to download and backup their files immediately. After 120 days, availability is not guaranteed.

7. AERIAL/DRONE SERVICES
All drone operations are subject to FAA regulations and weather conditions.
- Airspace Authorization: If the property is in a restricted zone (e.g., near an airport), services are contingent upon receiving FAA clearance. If clearance is denied, the cost of the drone service will be credited to the Client's account for future use.
- Weather Safety: The pilot has the exclusive right to ground the drone if wind or weather conditions are unsafe. In such cases, the drone portion of the service will be rescheduled or credited to the Client's account.

8. PAYMENT & REFUND POLICY
- Payment Due: Payment is required to download the final media. Iolite Visuals may require full payment at the time of booking, particularly for new clients or first engagements.
- Refund Exceptions: Refunds are ONLY issued if Iolite Visuals is unable to perform the service due to illness, emergency, or equipment failure.
- Account Credit Only: For all other scenarios (including weather cancellations, client rescheduling, or service removal), payments will be retained as Account Credit for future use.
- Late Payments & Account Status: Failure to pay invoices may result in the suspension of future services. If a Client's payment is delayed or invoices remain past due, Iolite Visuals reserves the right to require full payment at the time of booking for all future appointments.

9. RIGHT TO REFUSE SERVICE
Iolite Visuals reserves the right to refuse service or terminate a business relationship at any time due to overdue invoices, safety concerns, unreasonable requests, or professional misconduct.
